All tools, platforms, systems, and strategies created, developed, or provided by
Rubic Management LLC
(hereinafter "the Company") remain the sole and exclusive intellectual property of Rubic Management LLC. This includes, but is not limited to, proprietary software, custom-built systems, templates, workflows, designs, processes, methodologies, and documentation.
By engaging with the Company's services, clients acknowledge that they are being granted limited usage rights, as outlined in this policy, and do not acquire any ownership rights to the Company’s intellectual property.
Clients are granted a non-exclusive, non-transferable, revocable license to use the systems, tools, and platforms developed by Rubic Management LLC solely for their internal business operations. This license is subject to the following conditions: Usage must comply with the terms and conditions of the service agreement.
Clients are strictly prohibited from reselling, sublicensing, redistributing, or otherwise transferring any systems, tools, or platforms provided by Rubic Management LLC to any third party, whether for commercial or non-commercial purposes.
Any custom solutions, builds, or enhancements created for clients as part of the Company’s services remain the intellectual property of Rubic Management LLC, even if developed to meet specific client requirements.
Rubic Management LLC reserves all rights not explicitly granted to the client under this policy. Any unauthorized use, duplication, or modification of the Company’s intellectual property will be considered a breach of this policy and may result in termination of the service agreement and/or legal action.
The Company may integrate third-party tools, APIs, or services as part of its custom solutions. Ownership and licensing of such third-party components remain with their respective providers. The client is responsible for adhering to the licensing terms of these third-party services.
All trademarks, logos, and branding elements of Rubic Management LLC are protected under applicable trademark laws. Clients are prohibited from using the Company’s trademarks or branding without prior written approval.
Upon termination of services, the client’s license to use Rubic Management LLC’s systems and tools will be revoked. The Company may disable access to proprietary systems, and the client must cease all use of the provided intellectual property.
All proprietary systems, tools, and documentation provided by Rubic Management LLC are considered confidential and must not be disclosed to third parties without the Company's express consent.
Clients agree to indemnify and hold harmless Rubic Management LLC against any claims, damages, or liabilities arising from unauthorized use, reproduction, or distribution of the Company’s intellectual property.
Rubic Management LLC reserves the right to update, modify, or enhance its systems and platforms at its sole discretion. Any updates or enhancements provided to clients will also be governed by this Intellectual Property Policy.
This Intellectual Property Policy shall be governed by and construed in accordance with the laws of Wyoming, and any disputes arising from this policy will be subject to the exclusive jurisdiction of the courts of Wyoming.
By using Rubic Management LLC’s services, clients acknowledge that they have read, understood, and agree to the terms of this Intellectual Property Policy.
