Rubic Management LLC – Service Suspension & Termination Policy

This Service Suspension & Termination Policy (“Policy”) governs Rubic Management LLC’s (“Rubic,” “we,” “us,” or “our”) rights to suspend, restrict, or terminate access to any services, software, programs, or offerings provided by Rubic.

By accessing or using any Rubic services, you (“User,” “Client,” “Partner,” or “you”) agree to this Policy in full.

1. Scope of This Policy

This Policy applies to all Rubic offerings, including but not limited to:

Core SaaS platform

Messaging services (SMS, email, voice)

AI tools and features

Done-For-You (DFY) services

Referral and Partner programs

Enterprise accounts

Any add-ons, integrations, or beta features

This Policy operates in conjunction with Rubic’s:

Terms & Conditions

Acceptable Use Policy (AUP)

Compliance & User Responsibility Policy

Cancel & Refund Policy

Partner Agreement

Done-For-You Policy

2. Suspension & Termination Authority

Rubic reserves the right, at its sole discretion, to suspend, restrict, or terminate access to any or all services at any time, with or without notice, and with or without cause, where permitted by law.

This authority exists to protect:

Platform integrity

Legal and regulatory compliance

Carrier relationships

Security and infrastructure

Rubic’s brand and reputation

3. Grounds for Suspension or Termination

Rubic may suspend or terminate services for any reason, including but not limited to:

Violations of the Acceptable Use Policy

Violations of the Compliance & User Responsibility Policy

Suspected or actual legal, carrier, or regulatory risk

Non-payment, failed payments, or payment disputes

Chargebacks or fraud investigations

Brand misuse or reputational harm

False claims, misrepresentation, or deceptive practices

Abuse, misuse, or excessive platform usage

Failure to respond to compliance or verification requests

Security threats or anomalous behavior

Rubic is not required to prove a violation prior to enforcement.

4. No Cure Period

Rubic is not obligated to provide a cure period, warning, or remediation opportunity prior to suspension or termination.

Any allowance of remediation is entirely discretionary and does not establish precedent.

5. Effect of Suspension

Upon suspension, Rubic may:

Disable access to the platform

Pause or terminate campaigns and automations

Restrict messaging or AI functionality

Withhold delivery of DFY services

Disable integrations and third-party connections

Suspension may be temporary or permanent at Rubic’s discretion.

6. Effect of Termination

Upon termination:

All access to services is immediately revoked

User accounts may be deactivated or deleted

Ongoing services are discontinued

Partner or referral privileges are revoked

DFY work may be halted immediately

Termination is final unless Rubic expressly reinstates access in writing.

7. Refunds, Credits & Payments

Suspension or termination:

Does not entitle the user to any refund

Results in forfeiture of unused time, credits, or services

Does not relieve the user of outstanding payment obligations

Does not alter Rubic’s no-refund DFY or installment policies

Partial payments remain non-refundable.

8. Data Access & Retention

Upon suspension or termination:

Access to the platform is immediately revoked

Data exports may be permitted only where legally required and at Rubic’s discretion

Data retention and deletion are governed by Rubic’s Data Retention & Deletion Policy

Rubic may retain logs, metadata, and records as required for:

Legal compliance

Security

Dispute resolution

Regulatory cooperation

9. Partner & Affiliate Enforcement

For Partners, Affiliates, or Referrers:

Rubic may terminate participation immediately for brand misuse, false claims, or violations

All remaining unpaid commissions may be forfeited

Access to dashboards, links, and programs may be revoked without notice

Termination under this Policy supersedes any prior partner communications

10. No Liability for Enforcement Actions

Rubic shall not be liable for:

Business interruption

Loss of data access

Lost revenue or opportunities

Damages arising from suspension or termination

Enforcement actions are taken to protect Rubic and its ecosystem.

11. Cooperation with Authorities

Rubic may cooperate with:

Carriers

Regulators

Law enforcement

Courts

Where required by law or to protect the platform, without notice to the user.

12. Policy Updates

Rubic reserves the right to update this Policy at any time. Continued use of the services constitutes acceptance of the updated Policy.
